ProAmpac to acquire TC Transcontinental Packaging

ProAmpac has announced it is acquiring TC Transcontinental Packaging (TCP) from TC Transcontinental in a deal valued at approximately USD 1.51 billion, subject to customary adjustments. According to the company, the acquisition is expected to close in the first quarter of 2026 pending shareholder and regulatory approvals.

TCP, a major flexible packaging producer with operations across North America, Latin America, the United Kingdom, and New Zealand, reported roughly USD 1.2 billion in revenue over the twelve months ending 27 July 2025. Its network includes facilities specializing in extrusion, printing, lamination, converting, and recycling, serving markets such as dairy, meat, medical, pharmaceutical, and consumer goods.

ProAmpac said the acquisition will significantly expand its operational footprint, technical capabilities, and presence in key growth sectors. “This acquisition is a trans-formative milestone for ProAmpac and TC Transcontinental Packaging,” said Greg Tucker, founder, vice chairman, and CEO of ProAmpac. He added, “Through TCP, ProAmpac is broadening its end-market focus … and expanding its geographic presence.”

For TC Transcontinental, the divestiture marks a strategic shift toward sharpening its focus on retail services, printing, and educational publishing. The company stated that proceeds from the sale will support debt reduction and investments in its core operating segments.

Following completion of the deal, ProAmpac plans to integrate TCP’s assets and workforce to advance development of sustainable packaging platforms, including monomaterial films, advanced barrier structures, and fiber-based alternatives. The company says combining TCP’s scale with ProAmpac’s existing product portfolio and innovation infrastructure will accelerate research, commercialization, and customer support across global markets.

The transaction positions ProAmpac as one of the largest flexible packaging suppliers in North America, strengthening its competitive position as demand grows for high-performance, recyclable, and regulatory-compliant packaging solutions.
